1. Service Description
ShieldPay provides automated chargeback defense services for Shopify merchants. Upon installation, ShieldPay monitors your store for new chargeback disputes, automatically collects relevant evidence (including tracking data, delivery confirmations, order history, and customer communications), generates AI-assisted response summaries, and submits dispute responses on your behalf via the Shopify Disputes API.
ShieldPay operates as a Shopify embedded app and requires a valid Shopify store to function.
2. Success Fee Model
ShieldPay operates on a success fee model. This means:
- No win, no fee. You are not charged anything if a dispute is lost, expired, or closed without a recovery.
- 20% success fee on the recovered amount when a dispute is resolved in your favor. For example, if a $100 dispute is won, ShieldPay charges $20.
- There are no upfront holds, no monthly subscriptions, and no setup fees.
- The success fee rate applicable to your account will be shown in your ShieldPay dashboard and confirmed during onboarding.
3. Merchant Obligations
By using ShieldPay, you agree to:
- Grant read access to your Shopify orders, customers, and disputes via Shopify OAuth. ShieldPay requires this access to collect evidence and submit dispute responses.
- Provide accurate and complete information about your store and business during onboarding.
- Maintain a valid payment method on file (via Shopify Billing API) to pay success fees when disputes are won.
- Not use ShieldPay for fraudulent, deceptive, or illegal purposes, including submitting false evidence in dispute responses.
- Comply with Shopify's Terms of Service and all applicable laws in your jurisdiction.
4. No Guarantee
ShieldPay does not and cannot guarantee that any specific dispute will be won. Chargeback outcomes are ultimately determined by the issuing bank or card network, not by ShieldPay.
Fees are only charged on successful recoveries. If a dispute is lost, you owe nothing to ShieldPay. Our success fee model aligns our incentives with yours — we only earn when you recover money.

5. Data Access
By installing ShieldPay, you grant ShieldPay read access to your Shopify store data (orders, customers, disputes, fulfillments) via Shopify OAuth. This access is used solely to operate the dispute defense service described herein.
You may revoke this access at any time by uninstalling the ShieldPay app from your Shopify admin. Revoking access will stop ShieldPay from defending new disputes on your behalf.

6. Billing
Success fees are charged via the Shopify Billing API. Charges appear on your Shopify invoice and are subject to Shopify's billing terms.
Billing is triggered automatically when a dispute is marked as won by Shopify and a recovery amount is confirmed. You will receive a notification before each charge is processed.
Success fees are capped at $500 per month across all disputes. If your total success fees in a billing cycle exceed this cap, the remainder will be rolled over to the next cycle.
7. Termination
You may cancel the ShieldPay service at any time by uninstalling the app from your Shopify admin. There are no cancellation penalties, exit fees, or minimum commitment periods.
Upon uninstallation, ShieldPay will stop monitoring your store for new disputes. Any disputes already in progress at the time of uninstallation may continue to be processed through resolution, depending on the stage of the dispute.
ShieldPay reserves the right to suspend or terminate service for any account found to be in violation of these Terms of Service, with prior notice where reasonably practicable.
8. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.
The service is operated by Navas Medisafe S.L.U., a company incorporated in Spain. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Spain.
